SoftBank is seeking a $10 billion loan to refinance debt incurred through its investment in OpenAI, according to Bloomberg. The Japanese conglomerate is managing obligations tied to its stake in the AI company.

The loan request marks SoftBank's third major financing round tied to its OpenAI position in roughly two years. In 2024, the company secured a $40 billion bridge facility and a $10 billion margin loan against the same investment. SoftBank's OpenAI stake has shaped its capital structure and liquidity management.

SoftBank holds a material position in OpenAI following its $500 million commitment announced in January 2025 as part of the company's Series C funding round. The investment gave SoftBank board observer rights and exposure to one of the most highly valued private AI companies. OpenAI's valuation reached $157 billion in its most recent funding round, making SoftBank's stake a substantial asset on its balance sheet.

The refinancing need stems from the scale at which SoftBank has used its OpenAI holding to finance other operations and investments. Debt secured against illiquid private equity stakes carries renewal risk, particularly in markets where credit conditions tighten. The $10 billion facility size matches the prior margin loan but differs in structure and purpose, addressing refinancing rather than fresh capital deployment.

SoftBank's Vision Fund has been under pressure to improve returns and reduce leverage following years of write-downs on tech investments made during the pandemic boom. CEO Masayoshi Son has emphasized disciplined capital allocation and debt reduction as strategic priorities. The latest loan request shows SoftBank remains dependent on debt markets to manage its concentrated OpenAI exposure.

Lenders face questions about the collateral quality and repayment certainty. A private company's valuation can shift between funding rounds, and OpenAI's own debt position and profitability trajectory remain subject to investor scrutiny. SoftBank's ability to secure $10 billion on these terms will test market appetite for bets on private AI companies backed by debt.

SoftBank has now sought or secured roughly $60 billion in debt facilities linked to its OpenAI investment over two years, a ratio that exceeds the initial $500 million equity commitment by a factor of 120. Lenders willing to front that level of capital against a single unlisted stake are accepting material risk concentrated in one company's private valuation.
