Super Micro Computer's board said an independent investigation found no evidence that current senior management members knew about an alleged scheme to smuggle $2.5 billion in hardware packed with Nvidia chips to China, according to the company's announcement.

The probe, conducted by law firm Munger, Tolles & Olson and led by independent directors Scott Angel and Tally Liu, examined whether top executives had knowledge of the diversion operation. The investigation's scope covered communications, financial records, and witness interviews tied to the alleged smuggling route.

The case centers on Super Micro's export control obligations under U.S. law. The company, a manufacturer of servers and storage systems, faces regulatory scrutiny over how hardware containing Nvidia processors, subject to restrictions on sales to China, left its supply chain. The $2.5 billion figure is the estimated value of diverted equipment.

Super Micro did not disclose the investigation's findings on whether lower-level employees or contractors participated in the scheme, only that current senior management lacked knowledge of it. The company has faced Securities and Exchange Commission inquiries related to export control violations and prior accounting issues.

The board's clearance of management does not resolve the underlying question of how the diversion occurred or what enforcement actions the U.S. government may pursue. The Commerce Department and other agencies have authority to investigate export control breaches separately from any internal corporate probe.

A clean bill for management removes one layer of liability exposure for Super Micro's leadership and shareholders, though regulatory and potential criminal investigations may continue. The investigation cost and timeline were not disclosed.

The filing to watch is whether the Commerce Department or Justice Department brings charges related to the smuggling scheme within the next 120 days.
