Trump Media and Crypto.com have mutually terminated their planned partnership, the company said this week. The two parties had been negotiating a 6.4 billion dollar arrangement involving a CRO token treasury and prediction-market integration for Truth Social.

The termination clears Trump Media's path to complete its merger with Yorkville Acquisition Corp., a special-purpose acquisition vehicle, by the end of 2026. That deal, known as the TAE merger, will take Truth Social public. The company said it is now directing resources toward the SPAC combination rather than the cryptocurrency initiatives.

Trump Media had announced the Crypto.com arrangement in recent months as part of a broader push to embed digital-asset features into Truth Social. The platform, launched in 2021 as Trump's answer to X, had remained private and loss-making.

The Crypto.com deal would have given Trump Media access to Crypto.com's user base and trading infrastructure. Crypto.com, the Singapore-based exchange, operates one of the industry's largest fiat-to-crypto on-ramps and has been aggressive in pursuing partnerships with traditional media and sports properties. The company has spent heavily on naming rights, including a five-year 700 million dollar sponsorship of the Los Angeles Lakers' arena.

Trump Media's shift back to the SPAC route follows pressure to reach profitability before a public listing. Truth Social reported cumulative losses exceeding 70 million dollars in its first three years of operation. The Yorkville merger, first announced in late 2023, has faced extended review timelines typical of SPAC combinations in the current regulatory environment.

The termination marks the second major strategic reset for Trump Media in twelve months. The company had previously explored direct listing and other paths to public markets before settling on the Yorkville vehicle. Each pivot has delayed the timeline for raising fresh capital or achieving liquidity for stakeholders.

Trump Media needs to execute the Yorkville merger to access capital markets. Without the Crypto.com partnership and the predicted revenue from prediction-market integration, the company's path to profitability now depends entirely on Truth Social's core social-media operations and advertising. The platform's user engagement and monetization rates remain below those of major competitors.
