SB Energy, the SoftBank Group-backed energy and data center company, is preparing to launch formal investor marketing for its initial public offering once US Securities and Exchange Commission review of its filing is complete, people familiar with the plan said.
The company filed an amended S-1 registration statement on September 21 addressing SEC feedback on its original submission. SB Energy intends to begin an IPO roadshow, the phase when underwriters present the company to institutional investors, immediately after regulators finish their comment period. The timing of that resolution remains unclear.
SB Energy operates power generation assets and has expanded into building data centers to serve cloud computing and artificial intelligence demand. SoftBank, the Tokyo-based conglomerate led by Masayoshi Son, owns the energy company through its Vision Fund and other subsidiaries. SB Energy is now allocating capital toward data center development as tech giants secure dedicated computing capacity.

The company has not disclosed target valuation, share count, or pricing range. Its amended filing with the SEC will remain under review until regulators complete their questions or the company requests withdrawal. IPO marketing typically begins within weeks of SEC clearance, though companies can begin preliminary investor conversations before formal approval closes.
SoftBank has pursued multiple capital raises in recent years, including Vision Fund 4 closings and asset sales. An SB Energy IPO would mark one of the larger energy-sector public debuts tied to infrastructure buildout for AI workloads. Other data center operators backed by major Japanese corporates have filed or completed offerings in 2025 and 2026, though SB Energy's scale and SoftBank's brand recognition position it as a marquee listing candidate.
The number of days between SEC comment-period closure and roadshow launch will determine whether SB Energy targets a late-2026 or early-2027 offering window. The filing to watch is any SB Energy announcement of an SEC no-action letter or effectiveness declaration, which would trigger the formal marketing period.
