Metaplanet, a Tokyo-listed bitcoin treasury company, issued approximately ¥200 million ($1.3 million) in unsecured bonds through its subsidiary Metaplanet Securities, marking the inaugural sale under its BitBonds program announced today.
The four series of privately placed notes carry annual coupons of 4% to 4.3% with roughly three-year maturities. The unrated bonds do not trade on a public market and were distributed to private investors. Metaplanet holds 43,000 bitcoin on its balance sheet, according to CEO statements, and the company has indicated it intends to expand the BitBonds program toward registered public offerings in future tranches.
Metaplanet Securities functioned as the distributor for the offering. The company has used debt facilities to accumulate its bitcoin position; according to prior disclosures, it deployed approximately 83% of a $500 million credit line to build its current holdings. The BitBonds structure allows the company to fund additional bitcoin purchases or operations without selling any of its cryptocurrency reserves.
Japan's regulatory framework for corporate debt, overseen by the Financial Instruments and Exchange Act, permits private placement of unsecured notes without public registration requirements below certain thresholds. Metaplanet's move into debt markets follows a pattern among bitcoin-focused companies seeking diversified funding sources as institutional adoption has matured. Galaxy Digital, Microstrategy and other large bitcoin holders have similarly tapped debt markets to finance treasury operations.

The 4-4.3% coupon range matches prevailing rates for unrated corporate debt in Japan's mid-market, where comparable three-year private placements by non-investment-grade borrowers typically carry similar or higher yields. Metaplanet priced at the lower end of that range.
Metaplanet conducted a ¥100 billion ($650 million) public equity offering in 2024 as part of its treasury strategy. The BitBonds program represents a shift toward debt as a source for capital raising. The company's first tranche at $1.3 million is modest relative to its stated ambitions, with the program likely to function as a proof of concept before scaling to larger registered offerings.
If Metaplanet completes a registered public bond issuance of material size within the next 12 months, it would establish a new precedent for bitcoin treasury companies accessing institutional debt markets at scale in Japan.
