iRhythm Holdings acquired VitalConnect in an all-cash deal valued at $287.5 million, the company said in a regulatory filing on August 6. The transaction is expected to close by year-end 2026.

iRhythm, which makes wearable cardiac monitoring devices, is absorbing VitalConnect's inpatient and hospital-at-home monitoring products to expand across care settings. The deal extends iRhythm's reach beyond its core ambulatory arrhythmia detection business into continuous monitoring for hospitalized and post-acute patients. VitalConnect generated revenue in the low nine figures before the acquisition, according to industry data.

iRhythm announced second-quarter revenue of $224.2 million, beating consensus estimates of $219.31 million. The company raised full-year 2026 revenue guidance to $880 million to $890 million, up from prior guidance of $850 million to $870 million. Adjusted EBITDA margin guidance stands at 13 percent to 14 percent.

The acquisition price represents approximately one times VitalConnect's estimated 2026 revenue, a multiple consistent with recent health-tech deals in the remote patient monitoring space. iRhythm said the deal would be accretive to adjusted earnings per share in 2027 and generate cost synergies through manufacturing and sales consolidation. The company did not disclose VitalConnect's ownership structure or specify how much debt it carries into the transaction.

iRhythm holds roughly 80 percent of the U.S. ambulatory arrhythmia monitoring market. VitalConnect competes in fragmented inpatient and home-based monitoring sectors where larger medtech players like Philips and Medtronic also operate. The combined entity aims to offer a unified platform spanning detection, diagnosis, and management across patient populations.

The guidance and deal announcement came as iRhythm's stock rose 7.2 percent in August trading. Investors have viewed the company's sequential growth and margin expansion as evidence that pricing power in remote monitoring has stabilized after reimbursement pressure in 2024 and 2025. iRhythm's enterprise value sits near $12 billion based on recent trading multiples.

The deal closes the gap between iRhythm's ambulatory strength and the inpatient market, where margins and unit economics have historically lagged. If iRhythm achieves the $880 million to $890 million revenue target and reaches the upper bound of the 13 percent to 14 percent adjusted EBITDA margin guidance, the company would generate approximately $124.6 million in adjusted EBITDA at midpoint, a 17 percent increase from 2025 levels. VitalConnect's integration timeline and whether the deal produces the promised synergies will determine whether iRhythm sustains this margin expansion through 2027.
