CoreWeave, the GPU infrastructure provider, plans to issue $3 billion of convertible senior notes due in 2033, according to a filing with the SEC. The company has also secured an option to expand the offering by an additional $500 million.
The convertible structure allows CoreWeave to raise capital while giving investors the right to convert debt into equity at a predetermined price. CoreWeave said proceeds will fund capped calls, a hedging mechanism that protects the company against large moves in its own stock price following conversion, and general corporate purposes.
Convertible debt has been a common financing tool for high-growth technology companies seeking to manage dilution while accessing debt markets at lower rates than traditional bonds. The structure gives investors equity upside with downside protection, and gives issuers with strong growth profiles but unproven profitability access to capital on favorable terms. CoreWeave, which went public via SPAC merger in December 2024, has seen its stock price roughly triple since listing.
The $3 billion base offering represents a substantial raise for a company that only entered public markets less than two years ago. CoreWeave operates data centers tailored to GPU workloads, serving customers across AI model training, inference, and other compute-intensive applications. The company reported revenue of $142 million in 2024, with operating losses, according to public filings.

The capped call component allows CoreWeave to retain some upside benefit if the conversion price is significantly exceeded, protecting shareholders from maximum dilution while still ceding some appreciation to convertible holders.
Convertible debt markets have remained active in 2026 as technology companies seek flexibility in capital structures. The due date of 2033 gives CoreWeave seven years to generate profitable growth before mandatory conversion or repayment triggers, aligned with the company's current production capacity expansion plans.
Investors have demanded GPU infrastructure plays as artificial intelligence adoption accelerates across enterprise and cloud customers. The offering's size relative to CoreWeave's current market cap will determine the dilution profile if conversion occurs.
