AMD is acquiring World Labs, the AI research company founded by Fei-Fei Li, in an all-stock transaction valued at $8.2 billion, according to the company's announcement. Li will join AMD as executive vice president and chief scientist, reporting directly to CEO Lisa Su. The deal is expected to close by the end of 2026.
World Labs builds spatial-intelligence models that generate, reconstruct and simulate interactive 3D environments from text, images and video. AMD is paying $8.2 billion for a company that remains small and focused on fundamental research into how AI systems understand and generate spatial information. Li will report directly to Su, placing World Labs' research agenda at the company's strategic center rather than within a separate research division.
Li founded World Labs after stepping down from her role as AI chief at Google in 2018. Her previous work on Stanford's Human-Centered AI institute and at Google shaped approaches to responsible AI development that have become industry-standard frameworks.
The acquisition price places World Labs among the largest AI research acquisitions by a chipmaker. Meta paid $1 billion in 2021 for CTRL Labs, a brain-computer interface startup, and Nvidia acquired Run AI for an undisclosed amount in 2023. World Labs' valuation reflects AMD's confidence in spatial AI as a core capability as the industry moves beyond large language models toward multimodal reasoning systems.

The all-stock structure preserves AMD's cash position at a moment when the company is competing heavily for fab capacity and engineering talent across semiconductor and AI infrastructure. AMD's stock price has remained volatile through 2026 despite gains in data-center GPU adoption. An all-stock deal also ties Li's post-acquisition compensation to AMD's performance, aligning her incentives with long-term shareholder returns rather than immediate cash extraction.
World Labs' integration will test AMD's ability to absorb early-stage research teams at scale. The chipmaker acquired Xilinx for $49 billion in 2022, absorbing a mature hardware division, but had less recent experience digesting pure research operations. If Li retains operational independence for World Labs' research team through the close date, the integration will face decisions about where spatial-intelligence work fits within AMD's product roadmaps for GPUs serving AI inference and robotics workloads.
The deal closes by year-end 2026, giving AMD roughly three months to secure regulatory approval and complete due diligence. The all-stock structure eliminates antitrust review for any foreign investment committee, though the transaction will require standard regulatory notification filing.
